I offer practical and sophisticated advice so you can reach agreement with your business partners. I help you to "get the deal done." I am particularly experienced in advising on technology transactions. I have negotiated and drafted numerous contracts related to patents, copyrights, trademarks and trade secrets. I have extensive experience representing clients who want to do business internationally, particularly with Japan. If you need an attorney who understands business and technology, I can help you.

I establish businesses (corporations, LLCs, partnerships joint ventures, etc.) in the US and in Japan. I draft and negotiate confidential disclosure agreements (CDAs), non-disclosure agreements (NDAs), letters of intent (LOIs), memoranda of understanding (MOUs), complex intellectual property contracts (including patent, copyright, trademark and trade secret licenses), collaborative research agreements, sponsored research agreements, product sale and purchase agreements, and distributorship agreements. I provide you with sophisticated but practical legal advice so you can realize you business goals.
I also can help you when the deal goes bad.  I resolve conflict by representing you in mediations and arbitrations involving business and other commercial disputes. When I act as your lawyer, you and I develop strategy to maximize your bargaining position. When I act as a mediator or arbitrator, I facilitate communication between you and the other party so that you and the other party are able to discover mutually beneficial “win-win” solutions.
I have worked as a lawyer in house, as a lawyer at a smaller "boutique" law firm, as an attorney at a large international law firm, and now as the owner and operator of the Law Offices of William Herbert.
I am a lawyer licensed in Washington, New York, and Georgia. I speak, read and write business and legal Japanese.
